ICSB Hosts Workshop on Dynamics of Shareholders’ Meeting in Hybrid Platform

ICSB successfully organized a comprehensive workshop on the Dynamics of Shareholders’ Meeting in Hybrid Platform on Saturday, 24 February 2024. The event, held at the premises of ICSB, brought together key stakeholders from various sectors including Chartered Secretaries in Practice, Independent Scrutinizers, Independent Service Providers, Company Secretaries from different companies and ICSB Members. 

This workshop was a collaborative effort between the Institute of Chartered Secretaries of Bangladesh (ICSB), Bangladesh Securities & Exchange Commission (BSEC) and Dhaka Stock Exchange PLC, with the shared objective of enhancing awareness among stakeholders regarding the dynamics of shareholder meetings in hybrid platforms.

The event commenced with a recitation of verses from the Holy Quran by Hafez Mohammad Nurul Islam, setting a respectful tone for the proceedings. Mr. M Nurul Alam FCS, Senior Vice President of ICSB, delivered the welcome speech, expressing gratitude to all participants for their attendance.

Mr. Mohammad Abdullah Al Mamun FCS, Treasurer and Chairman of the Secretarial Practice Assurance Committee of ICSB, chaired and moderated the workshop, ensuring smooth facilitation of discussions.

The workshop was honored by the presence of distinguished guests, including Dr. Shaikh Shamsuddin Ahmed, Commissioner of Bangladesh Securities & Exchange Commission (BSEC), who graced the occasion as the Chief Guest.

Additionally, Mr. Md. Saifur Rahman, Executive Director of BSEC, and Mr. Khairul Bashar Abu Taher Mohammed, Chief Regulatory Officer of Dhaka Stock Exchange PLC, attended as Special Guests, further enriching the event with their insights.

The Keynote paper presentation was delivered by Mr. Mohammed Nazrul Islam, Additional Director of Bangladesh Securities and Exchange Commission (BSEC), who elaborated on various facets of shareholder meetings in hybrid platforms. The presentation covered crucial topics including objectives, e-governance as a new dimension of corporate governance, legal frameworks, latest circulars and instructions from the Commission, and challenges faced by the platform.

Dr. Shaikh Shamsuddin Ahmed, in his address, commended ICSB for organizing such an insightful workshop and emphasized the importance of such initiatives in enhancing stakeholders' awareness of updated rules and regulations. He pledged continuous support from BSEC towards such endeavors.

Mr. Md. Saifur Rahman expressed appreciation for ICSB's initiative, noting that the workshop would address pertinent questions among stakeholders and reaffirm BSEC's commitment to collaborating with ICSB in the future.

Mr. Khairul Bashar Abu Taher Mohammed Chief Regulatory Officer of Dhaka Stock Exchange PLC. extended gratitude to ICSB for organizing the workshop, acknowledging the importance of technological advancements in safeguarding shareholder rights and emphasizing the need for sincerity and efficiency in adapting to these changes.

The interactive discussion session provided participants with an opportunity to engage with industry experts, exploring challenges and opportunities arising from hybrid participation, best practices for issuers, the role of independent scrutinizers, and the significance of ISPs in facilitating smooth shareholder meetings.

Mr. Mohammad Abdullah Al Mamun FCS, as the Session Chairman, summarized the discussions, highlighting key insights and emphasizing the importance of transparency, integrity, and compliance with regulatory requirements. He additionally emphasized the importance of including all relevant firms in the recent notice issued by BSEC for the enlistment of Independent Scrutinizers.

The workshop concluded with a vote of thanks delivered by Mr. A. K. M. Mushfiqur Rahman FCS, Vice President of ICSB, expressing gratitude to all participants, organizers, and stakeholders for their contributions and commitment to enhancing corporate governance practices.
